These terms govern access to and use of the Strapas website, platform, subscription services, and generated output.

Overview

These Terms of Service, as amended from time to time, constitute a legally binding agreement between Strapas and the customer accepting these Terms. They govern the use of the Strapas website, platform, and related services made available through a software-as-a-service subscription model.

By accessing or using the Platform, you agree to these Terms. If you accept these Terms on behalf of a company or other entity, you represent that you have authority to bind that entity.

Additional policies and guidelines may also apply, including our Pricing page, Privacy Policy, and Responsible Use Policy, each of which is incorporated into these Terms by reference.

Important notice: These Terms contain dispute resolution, arbitration, and class action waiver provisions that affect your legal rights.

The Platform; right to access and use

Subject to your compliance with these Terms, Strapas grants you a limited, non-exclusive, non-transferable right to access and use the Platform during the applicable subscription term and solely for your internal business purposes.

  • We may modify, update, limit, or discontinue any part of the Platform or Website at any time.
  • Use of the Platform may be subject to user limits, message limits, integration credits, or other usage caps depending on your selected subscription plan.
  • Exceeding usage limitations may result in excess charges or require the purchase of additional credits.
  • We may offer free trials, beta features, alpha features, or other pre-released services from time to time.

Trial services and pre-released services are provided on an “as is” and “as available” basis, with no warranties of any kind.

Users, accounts, and customer obligations

To use the Platform, you must register an account and create authorized user access as applicable. You are responsible for all activity that occurs under your account and for ensuring that your users comply with these Terms.

  • Users must meet the minimum age requirements described in the Terms and applicable law.
  • You must provide accurate, complete, and up-to-date registration information.
  • Login credentials must be kept secure and may not be shared among multiple individuals.
  • You must promptly notify Strapas of any unauthorized account access or suspected misuse.
  • You are responsible for your infrastructure, integrations, credentials, environments, backups, and security controls.

If single sign-on is offered, you are responsible for ensuring that you are authorized to connect the relevant third-party account and to provide any required permissions.

Customer data

While using the Platform, you and your users may upload, transfer, or otherwise provide data and materials to the Platform, including prompts and other input used to create generated output. As between you and Strapas, your rights in your customer data remain yours.

You grant Strapas and relevant third-party service providers the rights needed to access, process, store, use, and handle that data for the purpose of providing the Platform, generating output, enforcing our rights, and complying with applicable law.

You represent and warrant that you have all rights, permissions, and authority necessary to provide your data to the Platform and that your use of the Platform does not violate applicable law or third-party rights.

Important restrictions

Unless explicitly agreed in writing, you should not submit specially regulated sensitive information such as protected health information or payment card data.

Intellectual property and generated output

As between Strapas and the customer, all rights, title, and interest in the Platform, Website, documentation, technology, branding, and related materials remain the property of Strapas and its licensors.

Subject to the ownership provisions in the Terms, and to the extent permitted by applicable law, the customer owns rights in the generated output produced from its prompts and input data. However, due to the nature of AI and machine learning systems, outputs may not be unique and similar or identical outputs may be generated for other users.

Restricted use

You and your users may not misuse the Platform, Website, generated output, or related materials. Prohibited conduct includes, without limitation:

  • Using the Platform in violation of the Responsible Use Policy.
  • Copying, modifying, distributing, sublicensing, or reselling the Platform itself.
  • Reverse engineering, decompiling, or attempting to extract source code.
  • Using the Platform to build, train, or improve a competing product or service.
  • Scraping, crawling, automating access, or bypassing access restrictions.
  • Uploading malicious code or interfering with the integrity of the Platform.
  • Using the Platform for hazardous, regulated, or high-risk use cases.
  • Using the Platform or generated output to provide licensed professional services without proper authorization.

Third-party software and AI services

The Platform may integrate with or rely on third-party products, software, APIs, SDKs, open-source components, and AI services. Those services are governed by their own terms, policies, and licenses.

Strapas is not responsible for third-party services or their terms, and does not endorse them merely by integrating with or linking to them.

You acknowledge that third-party AI services may produce inaccurate, incomplete, or hallucinated responses, and you are solely responsible for verifying the accuracy and relevancy of any generated output before relying on it.

Subscription and payments

Access to the Platform is provided on a paid subscription basis unless otherwise stated. Fees are based on the selected plan and are generally charged in U.S. dollars.

  • Fees are generally non-cancelable and non-refundable except where required by law.
  • Applicable taxes may be charged in addition to listed fees.
  • Subscription fees may be billed monthly or annually in advance, depending on your plan or order form.
  • Late or delinquent payments may incur interest and collection costs.

Term, auto-renewal, and termination

Subscriptions automatically renew by default unless canceled in accordance with the Terms or the applicable order form.

  • Auto-renewal may be turned off through account settings or by contacting support.
  • Renewal charges apply at the then-current rate and may exclude prior promotional discounts.
  • Strapas may suspend or terminate access for misuse, security risk, non-payment, or other breach of the Terms.
  • Customer termination generally takes effect at the end of the current subscription term.

After termination, access rights end immediately, and customer data retention and retrieval rights are governed by the Terms, including the limited post-termination request window described there.

Warranty disclaimer

The Platform, Website, company documents, guides, and generated output are provided on an “as is,” “as available,” and “with all faults” basis.

To the fullest extent permitted by law, Strapas disclaims warranties of any kind, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, security, compatibility, title, and quiet enjoyment.

You are solely responsible for evaluating the functionality, security, legality, accuracy, and suitability of generated output and for maintaining backups of your data and systems.

Limitation of liability and indemnification

To the fullest extent permitted by applicable law, Strapas and the customer each limit certain categories of liability under these Terms, subject to the specific exceptions set out in the Terms.

Neither party will be liable for special, incidental, punitive, consequential, or indirect damages, or for losses such as lost profits, lost revenue, lost data, business interruption, or similar damages, except where prohibited by law or expressly stated otherwise.

The Terms also require the customer to defend and indemnify Strapas and related parties against certain third-party claims, including claims tied to customer data, misuse, infringement, or generated output-related disputes.

Class action waiver and arbitration

These Terms include a class action waiver and, where permitted by law, mandatory binding arbitration for covered disputes.

Covered claims may be resolved through final and binding arbitration administered by JAMS, and both parties waive the right to a jury trial and participation in class or representative actions, subject to the exceptions described in the Terms.

The Terms also include provisions for mass arbitration, cost handling, and a process for opting out of arbitration within the required time period by emailing support from the account-associated email address.

Review this section carefully before publishing. It affects dispute resolution rights and should match the legal language in your final approved Terms.

Miscellaneous

The Terms also include provisions covering amendments, export controls, customer reference rights, force majeure, independent contractor status, entire agreement, order of precedence, assignment, notices, severability, waiver, governing law, and jurisdiction.

Unless otherwise required by law or stated in an order form, the governing law is the law of the State of New York, and disputes are subject to the jurisdiction and venue of the courts located in New York County, New York.
